20. Contacting us either by phone, via email, and through any other methods constitutes agreement to these terms and conditions. Similarly, you agree that you, the client, or your client;

a) Will act honourably and faithfully in all business between you and Harper Willis Group Ltd.

b) Agree to pay a minimum consultation fee of 1% of any facility raised for your project, and where applicable, administration fees, and commitment fees. Where mezzanine or equity facilities are required, a minimum fee of 2% will be payable.

c) Upon instructing us for your project, should you, upon receiving a letter of interest or indication of our support, decide to terminate our relationship for the said project, you will be liable for any costs incurred including but not limited to any travel expenses, hourly consultant fees, and any administration fees.

d) For any introducers, brokers, or similar, introducer fees will be paid out of the broker fee, not the procurement fee, unless otherwise agreed. Should, for any reason, Harper Willis Group Ltd fee be reduced, the introducer fee will be proportionately reduced. Any alteration and agreement of any fee requires written consent and agreement from each of the IBF partners. This fee is indexed to performance- should limited involvement be required from the introducer post introduction, a nominal fee of 10% of IBF’s fee will be paid for the introduction.

19. Harper Willis Group Ltd may share information with governmental agencies or other companies assisting us in fraud prevention or investigation. Harper Willis Group Ltd may do so when: (1) permitted or required by law; or, (2) trying to protect against or prevent actual or potential fraud or unauthorised transactions; or, (3) investigating fraud which has already taken place. The information is not provided to these companies for marketing purposes.
